Accommodating the needs of the time, the Ministry of Corporate Affairs (MCA) has allowed all companies to conduct their Annual General Meetings (AGM) through video conferencing or other audio-visual means.
MCA has now clarified vide circular no. 28/2020 dated 17th August 2020 that there is no ad-hoc extension for holding AGM. Also, companies can file applications via form GNL-1 for seeking an extension of time in holding AGM for FY ended on 31st March 2020 on or before 29th September 2020.
The Registrar of Companies will consider all such applications (filed in Form No. GNL-1) liberally in view of the hardships faced by the stakeholders and grant extension for up to three months.
